1. Acceptance of Terms
These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("User", "you") and Cloud VNO Cloud & Data Services FZCO ("Company", "we", "us", or "ringla"), registered in the United Arab Emirates under registration number DSO-FZCO-37239.
By downloading, installing, or using the ringla mobile application or accessing our website at ringla.io, you agree to be bound by these Terms. If you do not agree, you must immediately discontinue use of our services.
2. Service Description
ringla provides virtual phone number services that allow users to make and receive calls, send and receive SMS messages, access voicemail, and receive one-time verification codes ("Services"). Our Services include:
- Virtual phone numbers from multiple countries
- Voice calling capabilities (inbound and outbound)
- SMS messaging (inbound and outbound)
- Voicemail recording and playback
- Temporary verification number services
- Prepaid wallet and subscription management
3. Eligibility
You must be at least 18 years of age to use our Services. By using ringla, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. We reserve the right to request proof of age at any time.
4. Account Registration
To use our Services, you must create an account by providing a valid email address and creating a password. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use of your account
- Ensuring your account information is accurate and up to date
We reserve the right to suspend or terminate accounts that violate these Terms or are used for fraudulent purposes.
5. Virtual Phone Numbers
5.1 Number Allocation
Virtual phone numbers are allocated based on availability. We do not guarantee the availability of specific numbers or area codes. Numbers may be subject to local telecommunications regulations in the country of issuance.
5.2 Number Retention
Your virtual phone number remains active as long as your subscription is current and your account is in good standing. Numbers may be reclaimed if your subscription lapses or your account remains inactive for more than 90 consecutive days.
5.3 Number Portability
Virtual phone numbers provided by ringla are not portable and cannot be transferred to another telecommunications provider. Numbers are licensed, not owned, by users.
6. Temporary Verification Numbers
Temporary verification numbers are intended for one-time use to receive SMS verification codes from supported services. These numbers:
- Are shared and may be used by multiple users
- Should not be used as a permanent phone number
- May not work with all services or platforms
- Are provided on an as-is basis with no guarantee of deliverability
We do not guarantee that verification messages will be received, as delivery depends on the sending service and telecommunications infrastructure.
7. Payments & Billing
7.1 Subscription Plans
ringla offers monthly and yearly subscription plans. Subscriptions automatically renew unless cancelled before the end of the current billing period. Pricing is displayed in the app and is subject to change with reasonable notice.
7.2 Wallet & Prepaid Balance
Users can add funds to their in-app wallet to pay for calls, SMS, and verification services. Wallet balances are non-refundable except where required by law. Unused balances do not expire as long as your account remains active.
7.3 Free Trial
New users may be eligible for a free trial period. At the end of the trial, your selected subscription plan will be charged unless you cancel before the trial expires. Free trial eligibility is limited to one per user.
7.4 Refunds
Subscription fees are non-refundable except where required by applicable law or platform policies (Apple App Store, Google Play Store). Refund requests should be directed through the respective app store.
8. Acceptable Use
You agree not to use our Services to:
- Engage in any illegal, fraudulent, or harmful activity
- Send unsolicited bulk messages (spam) or make robocalls
- Harass, threaten, defame, or abuse others
- Impersonate any person or entity
- Interfere with or disrupt our Services or servers
- Circumvent or attempt to circumvent rate limits or usage restrictions
- Use our verification service to create fraudulent accounts on third-party platforms
- Violate any applicable local, national, or international laws or regulations
Violation of these acceptable use provisions may result in immediate account suspension or termination without refund.
9. Emergency Services
ringla virtual phone numbers do NOT support emergency calls (e.g., 911, 112, 999). Our Services are not a replacement for traditional telephone service. You must maintain an alternative means of reaching emergency services at all times.
10. Intellectual Property
All content, trademarks, logos, software, and intellectual property associated with ringla are owned by Cloud VNO Cloud & Data Services FZCO or its licensors. You are granted a limited, non-exclusive, non-transferable license to use our app and Services for personal, non-commercial purposes. You may not copy, modify, distribute, sell, or lease any part of our Services without written consent.
11. Limitation of Liability
To the maximum extent permitted by law, ringla and its affiliates, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of our Services. Our total liability shall not exceed the amount you have paid to us in the 12 months preceding the claim.
Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
12. Indemnification
You agree to indemnify and hold harmless Cloud VNO Cloud & Data Services FZCO and its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from your use of our Services, your violation of these Terms, or your violation of any third-party rights.
13. Service Modifications & Termination
We reserve the right to modify, suspend, or discontinue any part of our Services at any time with reasonable notice. We may terminate your account and access to our Services if you breach these Terms. Upon termination, your right to use the Services ceases immediately, and any allocated virtual numbers will be released.
14. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising from or relating to these Terms or our Services shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE. Before initiating legal proceedings, parties agree to attempt resolution through good-faith negotiation for a period of 30 days.
15. Changes to These Terms
We may revise these Terms from time to time. Material changes will be communicated via the app or email at least 14 days before taking effect. Your continued use of our Services after the effective date constitutes acceptance of the revised Terms.
16. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
